1. Acceptance of these Terms
These Terms & Conditions (the “Terms”) govern your access to and use of the N&D B.V. website and any online education content, workshops, webinars, downloadable learning resources, and learner support made available through it (collectively, the “Services”). By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms.
If you do not agree, do not use the Services. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” includes both you and that organisation.
Minimum age: you must be at least 16 years old to use the Services. If you are under 18, you should use the Services only with the involvement and supervision of a parent or legal guardian.
Our Privacy Policy is incorporated by reference and forms part of these Terms.
2. Education-only scope and important disclaimers
N&D B.V. provides educational and informational content only. Our Services are designed to support learning about workplace skills such as business administration, communication, leadership practices, project management fundamentals, productivity routines, and organisational effectiveness.
N&D B.V. does not provide consulting, financial services, legal services, accounting, investment services, recruitment, employment placement, healthcare services, immigration services, software development, engineering services, or any regulated professional services. Any examples, templates, or exercises are provided for learning purposes and should not be treated as professional advice.
Participation in educational programs does not guarantee employment, promotions, certifications, business success, or financial outcomes. Outcomes depend on independent application and factors outside the Services, such as workplace context, role scope, and external opportunities.
3. Description of the Services
The Services include online courses, virtual workshops, webinars, and downloadable learning resources intended for learners across Canada. Program descriptions, durations, and learning outcomes are provided for clarity and may be updated periodically to reflect improvements in curriculum and learner experience.
The Services are provided “as is” and “as available”. We may modify, suspend, or discontinue any part of the Services at any time. Where changes materially affect a learner currently enrolled in a program, we aim to provide reasonable notice and an appropriate transition path, where practical.
4. Registration, enquiries, and communications
You may contact us or request registration through our forms. You agree to provide accurate, current information and not to submit misleading or impersonating details. If we reasonably suspect that information is inaccurate or abusive, we may decline to process the request.
By submitting an enquiry or registration request, you consent to receive communications from N&D B.V. related to your request (for example, confirmation, clarification questions, or next steps). Marketing communications, if any, will be handled in accordance with applicable law and your preferences.
5. Acceptable use
You agree not to misuse the Services. In particular, you must not:
- Attempt to gain unauthorised access to systems, accounts, or data, or to bypass security measures.
- Use automated means (including bots, scrapers, or crawlers) to access, extract, or index the Services in a way that materially impacts availability or violates robots.txt instructions.
- Submit malware, phishing content, or harmful code, or attempt to interfere with the integrity or performance of the Services.
- Impersonate another person or misrepresent your affiliation with any entity.
- Use the Services for harassment, spam, or any unlawful activity.
- Use the Services in a way that violates applicable sanctions or export controls.
We may suspend or restrict access where we believe, in good faith, that misuse threatens the security, availability, or lawful operation of the Services.
6. Intellectual property
The Services and all associated content, including text, graphics, course materials, templates, videos, and downloadable resources (the “Content”), are owned by or licensed to N&D B.V. and are protected by applicable intellectual property laws.
Subject to these Terms, you are granted a limited, non-exclusive, non-transferable licence to access and use the Content for your personal, non-commercial learning purposes. You may not copy, reproduce, distribute, publish, publicly display, modify, create derivative works from, or exploit any part of the Content without prior written permission, except where such use is permitted by mandatory law.
If you submit feedback, suggestions, or improvement ideas, you grant N&D B.V. the right to use them without restriction or compensation, provided we do not publish personal data in a way that identifies you without your consent.
7. Third-party services and links
The Services may reference third-party tools or include links to third-party websites for convenience. N&D B.V. does not control those third parties and is not responsible for their content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.
8. Disclaimer of warranties
To the fullest extent permitted by applicable law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory. This includes implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
We do not warrant that the Services will be uninterrupted, error-free, secure, or free from harmful components, or that any content is complete, accurate, or suitable for any particular purpose. Educational content may include simplifications and examples that do not apply to every context.
9. Limitation of liability
To the maximum extent permitted by applicable law, N&D B.V. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of (or inability to use) the Services.
To the extent N&D B.V. is found liable for any claim, our total aggregate liability for all claims arising out of or relating to the Services will not exceed the greater of: (a) the amount you paid to N&D B.V. in the 12 months preceding the event giving rise to the claim, or (b) €100.
Nothing in these Terms limits or excludes liability for wilful misconduct, gross negligence, or any liability that cannot be limited or excluded under Dutch law.
10. Indemnification
You agree to indemnify and hold harmless N&D B.V., its directors, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your misuse of the Services, (b) your breach of these Terms, or (c) your violation of any applicable law or the rights of a third party.
11. Force majeure
N&D B.V. will not be responsible for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, labour disputes, pandemics, internet or telecommunications failures, cyberattacks, and outages affecting third-party hosting or cloud infrastructure.
12. International use
N&D B.V. operates from the Netherlands and provides online education intended for learners across Canada. We make no representation that the Services are appropriate or legally available in all locations. If you access the Services from outside the Netherlands, you are responsible for compliance with local laws that apply to your use.
13. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to conflict-of-law principles. Subject to mandatory consumer protection rules, any disputes arising out of or relating to these Terms or the Services will be submitted to the competent courts of the Netherlands.
If you are a consumer located in the European Union, you may also benefit from mandatory provisions of the consumer protection laws of your country of residence, where applicable.
14. Dispute resolution (informal first)
Before initiating formal proceedings, you agree to contact us to attempt to resolve the issue informally. Please describe the concern and include relevant details so we can investigate. We will aim to respond within a reasonable timeframe, typically within 30 days.
15. Termination
We may suspend or terminate access to the Services if we reasonably believe you have violated these Terms or if your use creates security, legal, or operational risk. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, and governing law.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
17. Entire agreement
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and N&D B.V. regarding the Services and supersede any prior or contemporaneous communications or understandings on that subject.
18. Assignment
You may not assign or transfer these Terms or your rights and obligations under them without our prior written consent. N&D B.V. may assign these Terms in connection with a merger, acquisition, corporate reorganisation, or sale of assets.
19. No waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of N&D B.V.
20. Modifications to these Terms
We may update these Terms from time to time. Changes become effective 14 days after being posted on this page, unless a change is required by law or is administrative in nature, in which case it may take effect immediately. The “Last Updated” date above indicates when these Terms were last revised.
21. Electronic communications
You agree that communications and records related to the Services may be provided electronically. Where signatures are required, you agree that electronic signatures and acceptance methods may be used and will be legally effective to the extent permitted by applicable law, including eIDAS.
